Acceptance

These Terms of Service (“Terms”) govern the websites, monthly plans and related services provided by SEOFORGER LLC, a Delaware limited liability company doing business as SEOForger Web Agency (“SEOForger,” “we,” “us,” or “our”), and your access to the SEOForger platform. By accessing or using the service, you agree to these Terms. If you use the service for a business, you confirm that you have authority to bind that business.

The service

SEOForger offers Revenue Capture, Local Growth and Growth Partner packages combining website design, AI reception and agreed marketing services. The current scope is described on our pricing page and confirmed in your proposal. Each current package has a $1,000 one-time setup fee; phone, AI, SMS, email usage and advertising spend are separate. Ongoing SEO, campaigns and follow-up features depend on the selected package. Your written proposal confirms billing, cancellation, support and any refund terms before you commit.

Earlier website-only agreements. The following website-only arrangements apply where included in an existing proposal for Professional Presence, Local Growth or Local Authority. Each is available as a managed monthly service or a one-time build with handover. Managed monthly service includes hosting, technical maintenance and one consolidated monthly request for existing text/photo changes requiring up to 15 minutes, without rollover. One-time builds include the agreed launch work, deployment to client-controlled hosting and full handover of website source files, content, assets, relevant account access and a practical guide. Enquiry delivery and any included booking setup are tested in client-controlled services before handover. The delivered website must operate independently of the SEOForger agency platform. Hosting, domain and third-party service costs are paid separately by the client; later help from SEOForger is optional and quoted separately. Google profile work and articles are launch deliverables, not recurring services. Existing website-only agreements retain their agreed deliverables. Our own platform provides tools for business discovery, outreach management, sales follow-up, client delivery, website publishing, reporting and appointment creation. Features may evolve as we improve the product. Where a separate written proposal or client agreement exists, it governs deliverables, pricing and support commitments to the extent it differs from these Terms.

Access and connected accounts

You are responsible for protecting your access credentials and for activity performed through your account or deployment. You must only connect Google accounts and other third-party services that you own or are authorized to administer. Notify us promptly if you believe access has been compromised.

Responsible outreach

You are responsible for ensuring that calls, messages, lead handling, and use of contact information comply with applicable privacy, telemarketing, do-not-call, anti-spam, consumer-protection, and industry rules. You must honor opt-out requests and must not use Workbench for deception, harassment, unlawful discrimination, scraping that violates third-party terms, malware, or unauthorized access.

Google and third-party services

Workbench can connect to services such as Google Calendar, Google Meet, Google Maps Platform, hosting providers, and domain platforms. Your use of those services is also governed by their terms and privacy policies. Availability or changes to third-party APIs may affect related Workbench features. Connecting Google Calendar authorizes only the permissions displayed during Google’s consent flow.

Content and ownership

You retain rights in content and information you lawfully provide. You grant us the limited permission needed to host, process, reproduce, and transmit that material to provide the requested service. SEOForger retains rights in Workbench, its design system, software, documentation, templates, and brand assets, excluding your content and third-party materials. Following full payment for a one-time build, ownership of the website content and code created specifically for your project transfers to you. You receive the website source files and assets and may host, edit, maintain or move the delivered website yourself or through another provider. For any SEOForger reusable components incorporated in the delivered website, you receive a perpetual, royalty-free license to use, modify and transfer them as part of that website. Our underlying reusable design system and agency platform remain ours; the SEOForger agency app is not included. No continuing SEOForger subscription is required to operate the delivered website. Third-party materials remain subject to their own licenses. Existing written client agreements remain in effect.

Fees, refunds and cancellation

Current website, AI and marketing packages. The pricing page shows the current monthly service fee and one-time setup fee. Usage and advertising costs are separate. We confirm the full scope, billing schedule, cancellation and any refund arrangements in your written proposal before payment. The earlier website-only terms below apply to customers whose agreements include those arrangements.

Earlier website-only billing. Monthly plans are billed in advance through Stripe. Your first payment is charged when you complete checkout on the agreed start date, followed by monthly renewal until cancelled. A one-time build is charged once at checkout and does not create a SEOForger subscription. We agree the scope, hosting and service arrangements before payment. Your agreed price is stated in your proposal and shown at checkout in US dollars. Earlier website-only managed plans have no setup fee or long-term contract where this is part of the agreed offer. One-time build prices cover the initial build, deployment and full handover; they do not include ongoing hosting or maintenance. Any applicable tax is displayed before payment.

Cancellation. For managed monthly plans, you may cancel at any time by emailing [email protected] or through an available Stripe billing portal. Cancellation takes effect at the end of the billing period already paid for; your website stays online until then and no further charges are made.

Refunds. If you are not satisfied with your website, tell us within 14 days of your first payment and we will refund that first payment in full. This applies to either payment option. After that, a completed one-time build is not refundable except where required by law; for monthly plans, payments already made are not refunded for partial months, and no refund is due for the remainder of a period after you cancel. Domain registrations and renewals purchased on your behalf are billed at cost and are non-refundable once the registry has processed them.

Disputes. If you believe a charge is wrong, contact us first at [email protected]. We respond within five business days and will correct any billing error we have made. We will not materially expand paid work without your authorization.

Text messages

To you, the business owner. When you give us your mobile number, and again when you sign in to the SEOForger app, you agree to receive one-time login codes and alerts about new enquiries and missed calls for your business by text from SEOForger. Message frequency varies with your enquiries. Message and data rates may apply. Reply STOP to any message to stop, or HELP for help; you can also email [email protected]. Stopping texts does not affect emails or the app.

To your customers. Automatic replies, missed-call text-backs and appointment texts are sent to your customers from your own business number, in your name and under your business's carrier registration, which we set up for you. They go only to people who contacted your business first and agreed to be texted. You are responsible for the wording you approve.

Prospects we call. If we book a website-review call with you by phone, we ask before texting the meeting link and a reminder to your number. The first text explains how to opt out.

Availability and termination

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may suspend access to protect the service, comply with law, address nonpayment, or investigate material violations. You may stop using the service and revoke connected Google access at any time.

Disclaimers and liability

To the extent permitted by law, the service is provided “as is” and “as available.” We do not guarantee rankings, leads, sales, revenue, or third-party platform availability. SEOForger will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from use of the service. Nothing in these Terms limits rights or liabilities that cannot legally be excluded.

Changes and general terms

We may update these Terms as the service changes. The effective date above identifies the current version. If one provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. Applicable law and any separate signed agreement will govern disputes.
